STANDARD TERMS AND CONDITIONS OF SALE
- 1. General Application These Terms and Conditions apply to all services and goods provided by Trewac Forge. They supersede any prior agreements or client standard terms unless explicitly agreed to in writing by Trewac Forge.
2. Payment Terms and Interest Invoices are payable within 30 days of the invoice date, unless otherwise specified.
Late Payments: In the event of non-payment by the due date, Trewac Forge reserves the right to charge interest on the outstanding amount at a rate of 1.5% per month (19.56% per annum) until paid in full.
Suspension: Trewac Forge reserves the right to suspend services if an invoice remains unpaid more than 14 days past its due date, provided that Trewac Forge has given the client at least 5 business days' notice to cure the default.
Limitation: Trewac Forge’s total liability to the Client for any claim arising out of this agreement shall be limited to the amount of fees actually paid by the Client to Trewac Forge for the specific service giving rise to the claim.
Exclusion: Under no circumstances shall Trewac Forge be liable for indirect, special, or consequential damages (including lost profits or business interruption).
3. Collection Costs If a payment remains outstanding more than sixty (60) days after the due date, Trewac Forge may refer the matter to a debt recovery agency. The Client shall be responsible for all reasonable legal fees and collection costs incurred by Trewac Forge in recovering overdue amounts.
4. Taxes and Withholding All prices are exclusive of applicable sales taxes (HST/GST). If the Client is required by the laws of their country to withhold taxes at the source, the amount of the invoice due to Trewac Forge must be paid in full, free of any such deductions. The Client is solely responsible for paying any such withholding taxes to the appropriate authorities.
5. Warranty and Limitation of Liability Trewac Forge warrants that all services will be performed in a professional and workmanlike manner in accordance with typically accepted industry standards.
6. Claims and Notifications To be admissible, any claim regarding the quality of goods or services must be notified to Trewac Forge in writing within 14 days of delivery or performance. Failure to provide such notice shall constitute acceptance of the services/goods.
7. Governing Law These terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
